RENTAL/LEASE AGREEMENT

PURPOSE

This Agreement is provided by ESCAN Technologies Corp. (ESCAN). ESCAN is to provide customers Rented/Leased equipment to assist with short term applications. This agreement normally does not exceed four weeks, however extensions are available. ESCAN can provide an application development system.

This Agreement, dated as of the ____________________________ day of _______________, ______, is entered into by and between ESCAN, with its principal place of business at 12140 Severn Way, Riverside, CA 92503.

ESCAN agrees to Rent/Lease the product(s) on this Agreement, along with appropriate software and documentation, as necessary for CUSTOMER to conduct his/her business.

CUSTOMER agrees to respect the proprietary and trade secret nature of the product(s) by treating them as it would its own valuable assets and information.

ESCAN will provide technical assistance from its Support Center which can be reached at (951) 270-0043.

ESCAN agrees to pay freight on the shipment (UPS Ground) to CUSTOMER. CUSTOMER agrees to return the unit(s), in the same condition that it was received (as new), to ESCAN, at CUSTOMER's expense to ESCAN, at 12140 Severn Way, Riverside, CA 92503.

CUSTOMER agrees to return the product(s) in the same protective packaging the units are received in, or equivalent packaging.

CUSTOMER agrees to reimburse ESCAN for any damage to the product(s) that is a result of either abusive use or insufficient packaging when returning the product(s).

CUSTOMER agrees not to disassemble the units except with prior written permission from ESCAN.

CUSTOMER agrees to reimburse ESCAN for any damage resulting from unauthorized disassembling of the product(s).

At the end of Rental/Lease period CUSTOMER may purchase the equipment at a special price or return it to ESCAN.

This Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter hereof.
